By accessing or using the Pharaon platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Services.
2. Description of Services
Pharaon provides an expert network platform that connects clients with subject-matter experts for consultations, research, events, and advisory services. We facilitate these connections but do not guarantee specific outcomes or the accuracy of expert-provided information.
3. User Accounts
- Registration: You must provide accurate and complete information when creating an account.
- Security: You are responsible for maintaining the confidentiality of your login credentials.
- One Account: You may not create multiple accounts without our express permission.
4. Client Obligations
- Use the Services only for lawful business purposes
- Do not solicit or hire experts outside of the Pharaon platform (non-circumvention)
- Respect confidentiality agreements and expert privacy
- Pay all fees in accordance with agreed-upon terms
5. Expert Obligations
- Provide accurate information about your qualifications and experience
- Disclose all potential conflicts of interest
- Maintain strict confidentiality regarding client engagements
- Comply with all applicable laws, regulations, and Pharaon compliance policies
- Do not engage with clients outside the platform for 12 months following an introduction
6. Fees and Payment
- Clients: Fees are based on the services selected and are outlined in your service agreement.
- Experts: You set your own hourly rate. Payments are processed after project completion.
- Taxes: You are responsible for all applicable taxes on payments received.
7. Intellectual Property
All content, trademarks, and technology on the Pharaon platform are owned by Pharaon or its licensors. You may not copy, modify, or distribute any content without our written permission. Expert-generated insights remain the intellectual property of the expert, subject to the license granted to the client for the specific engagement.
8. Confidentiality
All parties agree to maintain strict confidentiality regarding:
- Client identities and project details
- Expert identities and personal information
- Content of consultations and research findings
- Proprietary platform technology and business information
9. Compliance
Pharaon maintains robust compliance frameworks to prevent the misuse of information and manage conflicts of interest. All users must cooperate with our compliance procedures, including pre-engagement screening and post-engagement reporting.
10. Limitation of Liability
Pharaon's liability is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or punitive damages. Information provided by experts represents their personal views and not those of Pharaon.
11. Termination
We may suspend or terminate your access to the Services for violation of these terms, fraudulent activity, or any conduct that we reasonably believe may harm Pharaon, its users, or third parties.
12. Governing Law
These terms are governed by the laws of Vietnam. Any disputes shall be resolved through binding arbitration in Hồ Chí Minh City, Vietnam.
13. Changes to Terms
We may modify these terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.
